These Terms of Service ("Terms") form a legally binding agreement between you and Aradus AI Limited ("Aradus", "we", "us", "our"). By accessing or using the Aradus platform (the "Service"), you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

Aradus is an AI-native supply chain platform that provides:

  • Automated email processing and classification for supply chain operations
  • Document management (invoices, purchase orders, bills of lading)
  • Shipment tracking and notifications
  • Freight rate comparison and booking
  • AI-powered operational assistance

3. Account Registration

To use our Service, you must:

  • Be at least 18 years old
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized access
  • Accept responsibility for all activities under your account

4. Acceptable Use

You agree NOT to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Transmit malware, viruses, or harmful code
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service
  • Use automated systems to access the Service without permission
  • Process illegal goods or engage in fraudulent activities
  • Harass, abuse, or harm other users

5. User Data and Content

5.1 Your Data

You retain ownership of all data you upload to the Service. By uploading content, you grant us a limited license to process, store, and display your data solely to provide the Service.

5.3 Data Accuracy

You are responsible for the accuracy of data you provide. We are not liable for decisions made based on inaccurate input data.

6. Third-Party Integrations

The Service may integrate with third-party services including:

  • Google (Gmail, Google Sign-In)
  • Microsoft (Outlook, Microsoft Sign-In)
  • Freight carriers and logistics providers

Your use of these integrations is subject to the respective third-party terms. We are not responsible for third-party service availability or functionality.

7. Payment Terms

If you subscribe to a paid plan:

  • Fees are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law
  • We may change pricing with 30 days notice
  • Failure to pay may result in service suspension

8. Intellectual Property

The Service, including its software, design, features, and content, is owned by Aradus AI Limited and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. AI-GENERATED CONTENT AND RECOMMENDATIONS ARE PROVIDED FOR INFORMATIONAL PURPOSES AND SHOULD BE VERIFIED BEFORE MAKING BUSINESS DECISIONS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARADUS AI LIMITED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Aradus AI Limited and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any rights of a third party.

12. Termination

We may suspend or terminate your access to the Service:

  • For violation of these Terms
  • For non-payment of fees
  • If required by law
  • At our discretion with reasonable notice

You may terminate your account at any time through your account settings. Upon termination, your right to use the Service ceases immediately.

13. Governing Law

Aradus is registered in the Dubai International Financial Centre ("DIFC"). These Terms shall be governed by and construed in accordance with the laws of the DIFC, without regard to conflict of law principles. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the DIFC Courts.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use after changes constitutes acceptance of the modified Terms.

15. Miscellaneous

  • Entire Agreement: These Terms constitute the entire agreement between you and Aradus AI Limited.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • Waiver: Failure to enforce any right does not waive that right.
  • Assignment: You may not assign these Terms without our consent.
